1. Introduction
1.1 This Intellectual Property Policy ("Policy") sets out the ownership of, and the terms on which you may use, the intellectual property associated with the website at https://store.elevatetech.biz (the "Website") and the content and materials made available by Elevate Tech Limited ("Elevate Tech", "we", "us" or "our").
1.2 This Policy forms part of, and must be read together with, our Terms and Conditions of Sale and Website Use and our Acceptable Use Policy.
2. Definitions
2.1 In this Policy:
"Content" means all text, graphics, images, photographs, logos, icons, designs, layouts, page structure, audio, video, software, code, databases, product descriptions, specifications, Technical Data, engineering documentation, catalogues, compilations and other materials made available on or through the Website;
"Intellectual Property Rights" means all intellectual property rights of whatever nature, including copyright, trade marks (whether registered or unregistered), trade names, service marks, patents, registered and unregistered designs, database rights, rights in know-how, trade secrets and confidential information, and all similar or equivalent rights anywhere in the world, whether registered or capable of registration or not;
"Marks" means the trade marks, trade names, logos, get-up and brand elements of Elevate Tech, including "Elevate Tech" and associated logos and branding.
3. Ownership
3.1 All Intellectual Property Rights in and to the Website and the Content are, and remain, owned by or licensed to Elevate Tech. The Website and the Content are protected by South African and international intellectual property laws, including the Copyright Act 98 of 1978, the Trade Marks Act 194 of 1993, and other applicable laws.
3.2 Except as expressly stated in this Policy, nothing on the Website or in this Policy grants you any right, title or interest in or to the Website, the Content, the Marks, or any Intellectual Property Rights.
3.3 Third-party trade marks, product names, brand names and logos (including those of Manufacturers and suppliers) that appear on the Website are the property of their respective owners. Their appearance on the Website is for identification and descriptive purposes only and does not imply any endorsement of, or affiliation with, Elevate Tech, unless expressly stated. We use them under licence or as permitted by law.
4. Limited Licence to Use the Website
4.1 Subject to your compliance with these policies, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Website and the Content solely for the purpose of evaluating, purchasing, managing and supporting Orders of Goods for your legitimate business purposes.
4.2 This licence permits you to view the Content on screen and to print or download extracts of the Content only to the extent reasonably necessary for the purpose described in clause 4.1, provided that:
(a) you do not modify any printed or downloaded materials; (b) you do not remove or alter any copyright, trade mark or other proprietary notice; and (c) you do not use any Content separately from the context in which it is provided.
5. Restrictions
5.1 Except as expressly permitted in clause 4 or by applicable law, you must not, without our prior written consent:
(a) copy, reproduce, republish, upload, post, transmit, distribute, display or make available any part of the Website or the Content; (b) sell, rent, lease, sub-licence, loan, assign or otherwise commercially exploit the Website or the Content; (c) modify, adapt, translate, or create derivative works based on the Website or the Content; (d) frame, mirror or incorporate any part of the Website into another website or service; (e) use any robot, spider, scraper, crawler or other automated means to access, copy, harvest, extract or index the Website, the Content, product data, pricing or Technical Data; (f) systematically extract or re-use any part of the Content, including for the purpose of building or populating a database, catalogue or competing product; (g) use the Content to train, develop or improve any machine-learning model, dataset or artificial-intelligence system, without our prior written consent; (h) decompile, reverse-engineer or disassemble any software comprising the Website, except to the extent permitted by law; or (i) use the Website or the Content in any way that infringes our Intellectual Property Rights or those of any third party.
5.2 Any use of the Website or the Content not expressly permitted by this Policy is prohibited and may infringe Intellectual Property Rights and breach these policies.
6. Trade Marks
6.1 The Marks are trade marks of Elevate Tech (whether registered or unregistered). You must not use the Marks without our prior written consent, except to the limited extent necessary to refer accurately to Elevate Tech or its Goods in a manner that does not imply endorsement, affiliation or sponsorship and that does not damage or dilute the Marks.
6.2 You must not register, use or attempt to register any trade mark, trade name, domain name, social-media handle or business name that is identical or confusingly similar to the Marks.
7. User Submissions
7.1 Where you submit content to the Website or to us (for example, queries, requests for quotation, reviews or account information) ("User Submissions"), you retain ownership of any Intellectual Property Rights you hold in that content.
7.2 You grant Elevate Tech a non-exclusive, royalty-free, worldwide, irrevocable, sub-licensable licence to use, reproduce, store, adapt, publish and process your User Submissions to the extent necessary to operate the Website, provide our services and respond to you, subject to our Privacy Policy.
7.3 You warrant that your User Submissions are your own or that you have all necessary rights to submit them, that they do not infringe any third-party right, and that they are lawful.
8. Goods and Third-Party Intellectual Property
8.1 The sale of Goods does not transfer to you any Intellectual Property Rights of Elevate Tech, the Manufacturer, or any third party in or relating to the Goods, including in any design, software, firmware, documentation, specification or branding associated with the Goods, except for the right to use the Goods for their intended purpose.
8.2 Any software or firmware embedded in or supplied with the Goods is licensed, not sold, and is subject to the licence terms of the relevant Manufacturer or licensor.
9. Infringement and Take-Down
9.1 We respect the Intellectual Property Rights of others and expect users to do the same. If you believe that any Content on the Website infringes your Intellectual Property Rights, please notify us at support@elevatetech.biz (and copy the Information Officer at wade@elevatetech.biz) with:
(a) your contact details; (b) identification of the right you claim has been infringed; (c) identification of the allegedly infringing Content and its location on the Website; (d) a statement that you have a good-faith belief that the use is not authorised; and (e) a statement that the information in your notice is accurate and that you are the rights holder or authorised to act on its behalf.
9.2 We will review valid notices and take appropriate action, which may include removing or disabling access to the relevant Content. We may also process take-down notifications in accordance with the take-down procedure contemplated under ECTA where applicable.
10. Enforcement
10.1 Unauthorised use of the Website, the Content or the Marks may result in:
(a) revocation of the licence granted in clause 4; (b) suspension or termination of your access to the Website or your account; (c) civil claims for damages, an interdict and other relief; and (d) criminal liability where applicable.
10.2 We reserve all rights and remedies available to us at law and in equity in respect of any infringement of our Intellectual Property Rights.
11. Reservation of Rights
11.1 All rights not expressly granted in this Policy are reserved by Elevate Tech and its licensors. No term of this Policy constitutes a waiver of any Intellectual Property Right.
12. Amendments
12.1 We may amend this Policy from time to time. The updated version will be published on the Website with a revised "Effective Date" and "Version". Your continued use of the Website after publication constitutes acceptance of the amended Policy.
13. Governing Law and Dispute Resolution
13.1 This Policy is governed by the laws of the Republic of South Africa.
13.2 Without limiting our right to seek urgent or interim relief (including an interdict) from a court of competent jurisdiction to protect our Intellectual Property Rights, any dispute arising from this Policy is subject to the dispute resolution and jurisdiction provisions of our Terms and Conditions of Sale and Website Use (negotiation, then mediation, then arbitration in Cape Town under AFSA rules, with the non-exclusive jurisdiction of the Western Cape Division of the High Court).
